Super Jingle™ Creator Copyright Terms
Effective: September 14, 2026 | Version: v2026_09
7.1 AI-Generated Content Policy
AI-generated music submitted to Super Jingle™ is accepted for the platform's contest and distribution processes. At the time of submission, AI-generated works may not independently qualify for U.S. copyright protection.
7.2 Conversion and Human Authorship
Super Jingle™ provides a structured pathway ("Conversion") through which human creators may add production, performance, arrangement, and other human-authored contributions to AI-generated material. Copyright eligibility and registration depend on the facts, the human authorship claimed, the rights documentation, and the determination of the U.S. Copyright Office. Conversion does not guarantee protection or registration of the entire work.
7.3 Creator and Investor Participation
Economic participation is governed by the applicable written agreements and the current Super Jingle economic terms. No universal 25% Artist / 75% Investor-Label split applies. Under the current post-conversion model, PA remains protected; regular investor participation, when authorized, is limited to 50% of the SR half (25% of the complete song allocation); and any additional recoupment is separate, limited to the Artist and Production SR portions, capped at approved outstanding principal, and stops when that principal is fully recouped. Economic allocations do not independently establish copyright ownership, recipient identity, contributor approval, entitlement, or payout readiness.
7.4 $20 Song Rights Intake
Songs submitted for Super Jingle streaming eligibility must complete the applicable $20 Song Rights Intake. This intake supports rights-information submission, documentation, and administrative review. Payment does not guarantee approval, Record Pool admission, distribution, copyright registration, economic entitlement, or payout readiness.
7.5 Rights Upon Contest Entry
When a song enters the contest phase, the applicable economic treatment transitions to the Super Jingle AI Forward Conversion Fund model as described in the applicable Super Jingle economic terms and How It Works documentation. This provision concerns applicable economic treatment only and does not transfer copyright ownership, change the Creator's underlying ownership, or independently change the Direct-to-Creator License.
7.6 No Guarantee of Approval
Submission of a song does not guarantee approval, contest entry, or commercial distribution. Super Jingle™ reserves editorial discretion over all submissions.
7.7 DIRECT CREATOR LICENSE TO SUPER JINGLE
Ownership Retained by Creator
The Creator retains ownership of all copyrights and other intellectual property rights in the Creator's submitted musical composition and sound recording except for rights separately transferred by a written agreement expressly accepted by the Creator.
Nothing in these Terms transfers ownership of the Creator's copyright to Super Jingle™.
7.7.1 CREATOR AUTHORITY
By submitting, uploading, delivering, or approving a musical work or sound recording for participation in the Super Jingle™ ecosystem, the Creator represents and warrants that the Creator:
(a) owns or controls the rights necessary to submit the work;
(b) has authority to grant the permissions and license described in these Terms;
(c) has accurately disclosed applicable writers, artists, producers, musicians, master owners, publishing interests, contributors, samples, interpolations, covers, leased beats, third-party beats, featured performers, existing contracts, label obligations, estate interests, and other third-party rights;
and
(d) will not knowingly submit material that infringes the copyright, trademark, publicity, privacy, contractual, or other legal rights of another person.
Where the Creator does not control all necessary rights, the Creator must disclose those limitations through the applicable Super Jingle Song Rights Intake process.
Super Jingle may restrict, administratively hold, suspend, deny, or remove a work until the required rights are verified.
7.7.2 NON-EXCLUSIVE LICENSE
For each work accepted into the Super Jingle ecosystem, the Creator grants Super Jingle LLC and its controlled platforms, applications, licensed Local Digital Radio Stations, distribution environments, and authorized technology infrastructure a non-exclusive license, during the period the work participates in the Super Jingle ecosystem, to use the submitted musical composition and sound recording as reasonably necessary to operate, administer, distribute, promote, measure, account for, and provide the Super Jingle ecosystem and its approved services.
This license does not transfer copyright ownership to Super Jingle.
7.7.3 LICENSED USES
Subject to the Creator's ownership or control of the applicable rights, the license includes permission for Super Jingle to:
• receive and store the submitted audio and associated metadata;
• reproduce technical copies reasonably necessary for hosting, processing, backup, delivery, streaming, scheduling, security, quality control, and platform operation;
• host the work within Super Jingle-controlled systems;
• stream and digitally transmit the work through approved Super Jingle audio players, digital radio stations, PLAYLISTereo environments, Social Space features, and other approved Super Jingle listening environments;
• publicly perform the musical composition through approved Super Jingle services to the extent the Creator owns or controls the applicable public-performance right;
• publicly perform the sound recording by means of digital audio transmission to the extent the Creator owns or controls the applicable right;
• schedule and include the work in approved Super Jingle radio programming, playlists, Production Orders, music libraries, catalogs, charts, and related platform features;
• make the work available through licensed Super Jingle Local Digital Radio Stations operating within the Super Jingle ecosystem;
• promote the work, Creator, artist, release, station, playlist, or Super Jingle service using the work or reasonable excerpts from the work;
• associate the work with advertising-supported Super Jingle programming and approved sponsorship environments;
• display and use associated song title, artist name, album or release information, approved artwork, credits, contributor information, and metadata in connection with the work;
and
• perform technical processing reasonably necessary to deliver the work through Super Jingle's approved technology.
7.7.4 SUPER JINGLE LICENSED MUSIC LIBRARY
A work that successfully completes the applicable:
COPYRIGHT / RIGHTS INTAKE
↓
OWNERSHIP AND AUTHORITY VERIFICATION
↓
CONTRIBUTOR REVIEW
↓
THIRD-PARTY RIGHTS REVIEW
↓
APPLICABLE AGREEMENT ACKNOWLEDGMENT
↓
ADMINISTRATIVE APPROVAL
may become eligible for inclusion in the:
SUPER JINGLE LICENSED MUSIC LIBRARY.
Inclusion in the Super Jingle Licensed Music Library means that Super Jingle has approved the work for one or more authorized uses within the Super Jingle ecosystem subject to the Creator's applicable rights, approval status, economic status, and these Terms.
Approval for playback and approval for economic participation may remain separate determinations under Super Jingle's rights governance architecture.
7.7.5 DIRECT-TO-CREATOR LICENSING MODEL
Super Jingle's music participation architecture is designed around direct relationships with participating Creators and rights owners.
A Creator who owns or controls the applicable rights may license those rights directly to Super Jingle through these Terms and the applicable Song Rights Intake and acknowledgment process.
Nothing in this section should be interpreted to mean that Super Jingle acquires rights that the Creator does not own or control.
Where third-party rights apply, the Creator remains responsible for disclosure and for obtaining any permissions required from the applicable third-party rights holder unless Super Jingle expressly agrees otherwise in writing.
7.7.6 TERRITORY
Because the Super Jingle ecosystem is digitally accessible, the license granted under this section is worldwide solely for the authorized Super Jingle uses described in these Terms.
The worldwide territory does not transfer ownership of the work and does not prevent the Creator from exploiting or licensing the work elsewhere unless a separate written agreement expressly provides otherwise.
7.7.7 TERM AND WITHDRAWAL
The license begins when the Creator accepts the applicable Terms and submits the work for participation in the Super Jingle ecosystem.
The license continues while the work remains approved for participation in the Super Jingle ecosystem.
Subject to any separate agreement, active campaign, accounting requirement, legal preservation requirement, pending dispute, or other surviving obligation, the Creator may request withdrawal of the work through the applicable Super Jingle rights-management process.
Super Jingle will process approved withdrawal requests within a commercially reasonable period.
Super Jingle may retain archival, accounting, compliance, transaction, rights-verification, and legal records reasonably necessary to document prior authorized activity.
7.7.8 NO TRANSFER OF OWNERSHIP
THE CREATOR KEEPS THE COPYRIGHT.
SUPER JINGLE RECEIVES A LICENSE TO USE THE WORK FOR THE AUTHORIZED SUPER JINGLE PURPOSES DESCRIBED IN THESE TERMS.
Except where a separate written agreement expressly provides otherwise:
• Super Jingle does not become the owner of the Creator's musical composition;
• Super Jingle does not become the owner of the Creator's master sound recording;
• the license is non-exclusive;
and
• the Creator remains free to use and license the Creator's work outside the Super Jingle ecosystem.
7.7.9 ECONOMIC PARTICIPATION
The license granted under this section establishes permission for authorized use of the work.
Economic participation is governed separately by the applicable:
• Canonical Economic Addendum;
• Song Rights Intake record;
• contributor records;
• participation status;
• campaign or contest terms;
• payout eligibility requirements;
and
• other applicable Super Jingle agreements.
Granting this license does not by itself guarantee:
• playback;
• playlist placement;
• audience;
• advertising revenue;
• royalties;
• distributions;
• commercial success;
or
• any particular amount of income.
7.7.10 THIRD-PARTY RIGHTS
Super Jingle's direct-to-Creator licensing architecture applies only to rights actually owned or controlled by the participating Creator.
If a submitted work contains or is subject to:
• samples;
• interpolations;
• cover-song rights;
• leased beats;
• third-party beats;
• third-party loops;
• featured performers;
• session musicians;
• publishing interests;
• master interests;
• label agreements;
• publisher agreements;
• estate rights;
• existing contracts;
or
• other third-party rights,
the Creator must disclose those interests through the applicable Song Rights Intake process.
Super Jingle may require additional documentation, licenses, permissions, contributor acknowledgment, or rights clearance before approving the work for applicable uses.
7.7.11 REMOVAL AND SUSPENSION
Super Jingle may suspend, restrict, administratively hold, disable, or remove a work when Super Jingle reasonably believes that:
• ownership is disputed;
• rights information is incomplete;
• required permissions are missing;
• a third party presents a credible rights claim;
• the Creator supplied materially inaccurate rights information;
• continued use may violate applicable law;
or
• continued use would violate Super Jingle's rights-governance standards.
7.7.12 RECORD OF ACCEPTANCE
Acceptance of these Creator Copyright Terms may be recorded electronically by Super Jingle.
The acceptance record may include:
• Creator or account identity;
• acceptance timestamp;
• applicable document version;
• Song Rights Intake record;
• acknowledgment status;
• hashed IP information;
• user agent;
and
• other reasonable compliance metadata.
The electronic acceptance record forms part of Super Jingle's rights-governance and compliance record for the submitted work.
7.8 RELATIONSHIP TO OTHER SUPER JINGLE AGREEMENTS
These Creator Copyright Terms operate together with the Super Jingle Terms of Service, applicable Song Rights Intake certifications, Canonical Economic Addendum, contributor records, contest terms, campaign terms, and other agreements applicable to the Creator or submitted work.
If a separate signed agreement grants Super Jingle additional or different rights for a particular work, project, artist, contest, release, or commercial arrangement, that agreement governs to the extent of any direct conflict with these general Creator Copyright Terms.Effective date and version are stated within this document.

Super Jingle™ AI Music Commercialization & Forward Conversion Policy Effective: September 2026 | Version: v2026_09 11.1 Two-Lane Commercialization Principle SELL IT IN THE INDUSTRY MALL. STREAM IT IN THE SUPER JINGLE ECOSYSTEM.™ Super Jingle provides separate commercialization pathways for qualifying AI-generated music. The Industry Mall initially provides the consumer-download sales pathway for qualifying AI-generated music. The Super Jingle ecosystem provides the applicable streaming, Radio Station Music Pool, and Local Super Jingle Digital Radio Station pathway. Participation in one pathway does not automatically constitute participation in the other. 11.2 Industry Mall Download Revenue Subject to applicable seller eligibility, commercial-use rights, submission, approval, payment, and other Industry Mall requirements, qualifying AI-generated music may be offered for paid consumer download through the Industry Mall without first completing Super Jingle Forward Conversion. Industry Mall AI-music participation does not initially generate streaming revenue. Revenue generated through qualifying Industry Mall consumer purchases is download-sales revenue. 11.3 Standard Industry Mall AI Music Pricing The standard Industry Mall AI-music pricing structure is: - AI Single: $3 upload fee and $3 consumer download price. - AI Album: $15 upload fee and $15 consumer download price. - An AI Album may contain no more than 15 songs. These Industry Mall charges are separate from fees associated with entering music into the Super Jingle ecosystem. 11.4 Super Jingle Ecosystem A creator who elects to submit an AI-generated song into the Super Jingle ecosystem must complete the applicable $20 Song Rights Intake per song and all applicable Super Jingle submission and rights requirements. Approved participation may make the song available for applicable streaming-revenue participation, Radio Station Music Pool hosting and discovery, and consideration for Local Super Jingle Digital Radio Station airplay, subject to applicable programming, rights, eligibility, and platform rules. Payment for Song Rights Intake does not guarantee approval, Music Pool or Record Pool admission, distribution, airplay, selection, streams, listeners, sales, copyright registration, economic entitlement, payout readiness, or earnings. 11.5 Independent Election Creators may elect to participate in the Industry Mall, the Super Jingle ecosystem, or both, subject to the separate requirements and fees applicable to each pathway. Industry Mall submission does not automatically submit a recording into the Super Jingle ecosystem. Super Jingle submission does not automatically create an Industry Mall commercial listing. 11.6 AI Forward Conversion AI-generated works participating in the applicable Super Jingle AI DEMO pathway remain subject to Super Jingle's Forward Conversion requirements and the applicable AI Forward Conversion Fund rules. Those requirements do not, by themselves, prevent a qualifying AI-generated recording from earning authorized consumer-download revenue through the Industry Mall. 11.7 Converted Recording — Industry Mall Exit An AI-generated recording may participate in qualifying Industry Mall download commerce before Forward Conversion and entry into the Super Jingle streaming/radio ecosystem. Once that underlying recording/master completes the applicable Forward Conversion requirements and enters an approved Super Jingle streaming, Music Pool, or radio-programming pathway, it may no longer remain available for consumer download through the Industry Mall. This restriction attaches to the underlying recording/master and may not be avoided through a different title, artwork, product listing, SKU, album placement, bundle, or other presentation. 11.8 Albums and Converted Recordings If a recording contained in an Industry Mall album becomes ineligible for Mall download because the converted recording enters an approved Super Jingle streaming, Music Pool, or radio-programming pathway, the affected recording must cease Mall download availability. Any Mall album or collection containing that recording must be withdrawn or reconstructed without the ineligible recording before further qualifying download sales. 11.9 Commercial Rights and Copyright A creator or seller must possess all rights, permissions, licenses, and authority necessary for the commercial exploitation they request. Commercial-use rights for AI-generated material do not constitute a representation by Super Jingle that the material is eligible for copyright protection or registration. Where Super Jingle requires satisfactory evidence of qualifying U.S. Copyright Office registration before enabling consumer downloads within the Super Jingle downloadable-distribution pathway, that requirement is a contractual platform condition and should not be interpreted as a statement that registration itself creates copyright. 11.10 Policy Amendments Super Jingle may amend this Policy from time to time as its services, commercialization pathways, rights-management requirements, technology, or applicable legal requirements evolve. Amendments will be identified by an effective date and, where applicable, an updated version designation. Material changes may be communicated through the Super Jingle Legal Center, applicable platform interfaces, account notifications, electronic communications, or other reasonable means. Unless expressly stated otherwise, amendments operate prospectively and do not retroactively alter completed transactions, accrued payment rights, or other rights and obligations fixed under an earlier applicable version. Where required by Super Jingle or applicable law, continued participation in an affected service may require acceptance of the revised Policy.
Effective date and version are stated within this document.
Super Jingle™ Industry Mall Music Seller Terms Effective: September 2026 | Version: v2026_09 12.1 Applicability These terms apply to merchants authorized to submit or commercially offer music through the Super Jingle Industry Mall and supplement the general terms applicable to Industry Mall merchants. 12.2 Seller Eligibility Music-commerce participation requires satisfaction of applicable Super Jingle Affiliate eligibility, Industry Mall merchant approval, Commerce Store requirements, Music Commerce authorization, and other applicable platform requirements. 12.3 Seller Rights and Authority The seller represents and warrants that the seller possesses the commercial-use rights, licenses, permissions, consents, and authority necessary to upload, offer, sell, and authorize delivery of submitted music and associated materials. The seller must accurately disclose AI-generated or AI-assisted material when required and must not submit material in violation of another person's copyright, trademark, publicity, contractual, or other rights. 12.4 AI Music Upload Fees and Consumer Prices The standard Industry Mall AI-music structure is: - Single: $3 upload fee; $3 consumer download price. - Album: $15 upload fee; $15 consumer download price. - Maximum album size: 15 songs. Payment of an upload fee does not guarantee approval, sales, downloads, revenue, or continued availability. 12.5 Download Commerce Industry Mall AI-music transactions initially constitute consumer-download commerce and do not themselves generate Super Jingle streaming revenue. Eligibility for Super Jingle streaming, Music Pool participation, or Local Super Jingle Digital Radio Station consideration requires separate entry into the applicable Super Jingle pathway. 12.6 Super Jingle Submission A seller may separately elect to submit an individual recording into the Super Jingle ecosystem. Each submission must complete the applicable $20 Song Rights Intake per song and satisfy all applicable Super Jingle eligibility, rights, approval, and documentation requirements. Payment for Song Rights Intake does not guarantee approval, Music Pool or Record Pool admission, distribution, streaming, radio programming, copyright registration, economic entitlement, payout readiness, or earnings. 12.7 No Guaranteed Results Neither Industry Mall submission nor Super Jingle submission guarantees consumer purchases, airplay, playlist or Music Pool selection, streams, listeners, revenue, royalties, or other commercial results. 12.8 Underlying Recording Authority Eligibility and restrictions may attach to the underlying recording/master rather than solely to a Product, title, artwork, album, bundle, or other commercial presentation. A seller may not evade an applicable download restriction by relisting substantially the same underlying recording through another Product or presentation. 12.9 Converted Recording — Industry Mall Exit An AI-generated recording may participate in qualifying Industry Mall download commerce before Forward Conversion and entry into the Super Jingle streaming/radio ecosystem. Once that underlying recording/master completes the applicable Forward Conversion requirements and enters an approved Super Jingle streaming, Music Pool, or radio-programming pathway, it may no longer remain available for consumer download through the Industry Mall. The affected Mall listing must cease download availability. This restriction attaches to the underlying recording/master and may not be avoided through another Product, title, artwork, album, bundle, SKU, or presentation. 12.10 Collaborations and Revenue Arrangements Where multiple persons have economic or creative interests in submitted music, the seller is responsible for accurately identifying applicable rights and obtaining required authority. Private collaboration, ownership, royalty, or revenue-sharing arrangements are governed by the applicable agreements among the parties and do not, by themselves, alter Super Jingle's platform rules. 12.11 Amendments and Modifications Super Jingle may amend, modify, supplement, or replace these Industry Mall Music Seller Terms from time to time to reflect changes in the Super Jingle platform, Industry Mall services, business operations, pricing structures, technology, legal or regulatory requirements, rights-management practices, or other legitimate business purposes. Any amendment will identify an effective date and, where applicable, an updated version designation. Unless otherwise expressly stated, an amendment applies prospectively from its effective date and does not retroactively alter completed transactions, accrued payment rights, or other rights and obligations that became fixed under the version of these Terms applicable at the time of the relevant transaction. When Super Jingle determines that a modification is material, Super Jingle may provide notice through the Legal Center, the applicable Super Jingle or Industry Mall interface, account notification, electronic communication, or another reasonable method. Super Jingle may require affirmative acceptance of materially revised Terms before a seller may continue using affected services or initiate new transactions under the revised Terms. A seller's continued use of an affected service after the effective date of revised Terms, where permitted by applicable law and after any required notice or acceptance process, constitutes agreement to the revised Terms for future use of that service. If a seller does not agree to revised Terms, the seller may discontinue future use of the affected service, subject to obligations arising from transactions or activities occurring before discontinuation. Changes to upload fees, standard consumer download prices, revenue-sharing rules, payout rules, or other material economic terms will apply prospectively unless the parties expressly agree otherwise or applicable law requires different treatment.

Super Jingle Network — Canonical Economic Agreement Addendum
Version: SJ-CEA-2026-09
Effective: 2026-09
Status: CURRENT
This Canonical Economic Agreement Addendum ("Addendum") is a governed legal document published through the Super Jingle LegalDocumentVersion authority. It states the contractual economic-participation rules applicable to Production Orders governed by this version. This Addendum operates prospectively and does not retroactively rewrite completed transactions, accrued payment rights, previously locked Production Orders, previously generated receipts, historical legal versions, prior legal acceptances, prior contributor approvals, or payment obligations already fixed under an earlier governing version.
1. RECONCILED REVENUE BASIS
Production Order distributions are based on reconciled advertising revenue supported by verified broadcast activity and the applicable locked Production Order evidence.
Advertiser wallet funding is not earned advertising revenue merely because it was deposited.
Displaying or accepting this Addendum does not activate a payment, receipt, Stripe transfer, or payout.
2. AFFILIATE OBLIGATIONS
Each eligible attributed Tier 1 or Tier 2 affiliate must be resolved from the Affiliate Program's authoritative identity, tier, and status.
An eligible active Pro affiliate receives 5% of the applicable reconciled advertising revenue.
An eligible active Premium affiliate receives 10% of the applicable reconciled advertising revenue.
No default percentage may be substituted when affiliate identity, tier, status, or attribution cannot be resolved.
3. POST-AFFILIATE DISTRIBUTION
After applicable affiliate obligations are deducted:
- 60% of the remaining revenue forms the Creative Pool.
- The remaining 40% is divided equally between the licensed Station Owner and Super Jingle LLC.
4. HOST AND UNIQUE-SONG UNITS
The Creative Pool is divided equally among:
- one eligible participating show host; and
- each unique eligible song actually played during the Production Order.
The participating host receives one complete equal unit.
The host is excluded from all PA, SR, contributor-category, investor, and recoupment subdivisions.
A song receives no more than one equal unit per Production Order when the same canonical song identifier plays multiple times.
This unique-song rule includes a theme song that plays repeatedly during the same show.
5. SONG PA AND SR DIVISION
Each song's equal unit is divided:
- 50% to the PA economic side; and
- 50% to the SR economic side.
PA and SR remain distinct rights classifications.
These allocations are Super Jingle contractual economic-participation categories.
The allocation does not, by itself:
- create copyright ownership;
- transfer copyright ownership;
- determine copyright ownership;
- prove PA ownership;
- prove SR ownership;
- prove registration;
- establish an approved payee;
- or establish payout readiness.
Recipient identity, rights authority, contributor approval, payment entitlement, payout eligibility, and applicable agreements remain separately required.
6. STANDARD CALCULATION — NO INVESTOR OR BUSINESS-LABEL INTEREST
When no approved investor or business-label interest applies to the song:
PA SIDE
The complete 50% PA side is divided equally among:
- Artist;
- Publishing PA;
- Production; and
- Musicianship.
Each category therefore receives 25% of the PA side, equal to 12.5% of the song's complete allocation.
SR SIDE
The complete 50% SR side is divided equally among:
- Artist;
- Publishing PA;
- Production; and
- Musicianship.
Each category therefore receives 25% of the SR side, equal to 12.5% of the song's complete allocation.
STANDARD TOTALS
Before approved contributor-level subdivisions, each category receives 25% of the song's complete allocation:
- Artist: 12.5% from PA plus 12.5% from SR.
- Publishing PA: 12.5% from PA plus 12.5% from SR.
- Production: 12.5% from PA plus 12.5% from SR.
- Musicianship: 12.5% from PA plus 12.5% from SR.
Multiple contributors within a category receive only the subdivision supported by approved contributor records and applicable agreements.
This Addendum does not invent contributor identities, contributor percentages, copyright ownership, or payment entitlement.
7. INVESTOR OR BUSINESS-LABEL CALCULATION — REGULAR PARTICIPATION
When an approved investor or business-label interest applies:
PA SIDE
The complete PA half remains divided equally among:
- Artist;
- Publishing PA;
- Production; and
- Musicianship.
No investor or business-label deduction is taken from the PA side.
SR SIDE
The approved investor or business label receives 50% of the SR half as regular economic participation.
Because the SR half represents 50% of the song allocation, this regular investor participation equals 25% of the song's complete allocation.
The remaining 50% of the SR half is divided equally among:
- Artist;
- Publishing PA;
- Production; and
- Musicianship.
Each of those four categories receives 25% of the remaining SR amount, equal to 6.25% of the song's complete allocation before any active recoupment adjustment.
REGULAR INVESTOR ROI
The investor or business label's regular SR participation represents continuing contractual return on investment or economic participation.
That regular SR payment does not reduce the approved recoverable investment principal.
It may continue after the investment has been fully recouped for as long as the applicable approved agreement provides.
8. RECOUPMENT ACTIVATION
Recoupment may operate only when:
- an investor or business-label interest is documented and approved;
- qualifying capital has actually been deployed;
- the approved recoverable amount is recorded;
- the remaining recoupment balance is recorded;
- the applicable investor or business-label recipient is approved;
- the work is eligible for the applicable commercial participation;
- and the recoupment status is active.
Pre-conversion income and contest proceeds are not subject to this recoupment calculation unless a separately approved controlling agreement expressly provides otherwise.
9. RECOUPMENT SOURCE
During active recoupment, the additional recoupment deduction applies only to:
- the Artist portion on the SR side; and
- the Production portion on the SR side.
Combine those two SR portions.
From that combined amount:
- 75% is redirected to the approved investor or business label as the additional recoupment payment.
- The remaining 25% is divided equally between Artist and Production.
No recoupment deduction may be taken from:
- the show host;
- any PA-side category;
- Publishing PA's SR portion;
- Musicianship's SR portion;
- the Station Owner;
- Super Jingle LLC;
- or an affiliate obligation.
The Artist and Production participants retain their full PA-side participation while recoupment is active.
Publishing PA and Musicianship retain their full PA and applicable SR participation while recoupment is active.
10. PRINCIPAL REDUCTION
Only the additional recoupment payment taken from the combined Artist and Production SR portions reduces the outstanding recoverable principal balance.
The investor or business label's regular SR participation does not reduce the outstanding principal balance.
The system must distinguish:
- regular investor or business-label participation;
- additional recoupment payment;
- original approved recoverable amount;
- amount recouped to date;
- and remaining recoverable balance.
11. RECOUPMENT COMPLETION
The additional recoupment payment must be capped at the outstanding approved balance.
The investor or business label may not receive more recoupment principal than the approved recoverable amount.
The final recoupment deduction may not exceed the remaining balance.
When the remaining recoupment balance reaches zero:
- the additional recoupment deduction stops;
- recoupment status becomes fully recouped through the applicable approved accounting process;
- Artist resumes receiving the complete normal Artist SR portion;
- Production resumes receiving the complete normal Production SR portion;
- and the investor or business label continues receiving only its regular SR participation for as long as the applicable agreement provides.
12. ECONOMIC PURPOSE
The PA-side structure protects participation for the broader creative team, including circumstances in which multiple musicians or contributors may share a category.
A greater number of contributors does not increase the amount assigned to that category.
The approved category amount is subdivided only through the applicable approved contributor records and agreements.
The investor structure provides:
- a defined regular SR return-on-investment position; and
- a separate, traceable path for recovering approved deployed capital.
13. ACCOUNTING, RIGHTS, AND APPROVAL DISTINCTIONS
The following are distinct forms of evidence and must not be treated as interchangeable:
- a database ownership label;
- a contributor credit;
- verified recipient identity;
- PA ownership evidence;
- SR ownership evidence;
- copyright registration;
- contractual payment entitlement;
- investor approval;
- contributor approval;
- administrative approval;
- payout eligibility;
- and actual paid status.
One form of evidence must not be inferred solely from another.
Disputed, incomplete, unapproved, or unresolved entitlement information must not become a payable obligation.
14. CENT-LEVEL INTEGRITY
Amounts must be calculated using integer cents and deterministic allocation rules.
The allocations originating from a song may not exceed that song's available equal unit.
Rounding must preserve the applicable financial total.
The Addendum does not itself activate or implement a rounding algorithm.
15. NO EARNINGS GUARANTEE
Participation does not guarantee:
- airplay;
- playlist placement;
- audience;
- advertiser activity;
- advertising revenue;
- earnings;
- receipt generation;
- Stripe transfer;
- bank payout;
- or any minimum payment.
